Welcome to AlphabetaSoup (the “Platform”), owned and operated by Alphabetasoup, Inc. (“Company,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) govern your use of our AI-assisted mortgage analysis and workflow platform, including any services, content, APIs, and websites (collectively, the “Services”). By accessing or using any portion of the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

  1. Binding Agreement. By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced herein, including our Privacy Policy and any additional guidelines or rules posted within the Platform.
  2. Eligibility. You represent that you are of legal age (18 years or older in most jurisdictions) and are otherwise capable of entering into legally binding contracts. If you are accessing or using the Services on behalf of an organization, you represent and warrant that you have the authority to bind the organization to these Terms.
  3. Updates to the Terms. We may modify these Terms from time to time in our sole discretion. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of the Services after such changes are posted indicates your acceptance of those changes.

2. Description of Services

  1. Platform Overview. AlphabetaSoup is an AI-assisted platform focused on mortgage analysis, guideline navigation, workflow automation, and other related features. Users can:
    • Create an account (Trial or Pro).
    • Interact with AI chat sessions to parse loan scenarios and 1003 forms.
    • Access plan-based features with usage limits (e.g., a set number of prompts).
    • Upload necessary documents (e.g., XML files) for mortgage analysis or scenario assessment.
  2. No Guaranteed Accuracy. Although we strive to provide valuable, accurate, and up-to-date mortgage-related information, the Platform relies on AI models and external data sources. We do not guarantee the correctness, completeness, or usefulness of any information provided. All results, outputs, and recommendations are provided on an “as is” basis.
  3. Not Financial or Legal Advice. The content generated through the Services is for informational purposes only and should not be construed as financial, legal, or underwriting advice. You should seek professional advice where appropriate.

3. User Accounts and Registration

  1. Account Creation. To use certain features of the Services, you must register for an account by providing a valid email address, username, and password. You agree to provide accurate and complete information during registration and to keep your account information current.
  2. Account Security. You are responsible for maintaining the confidentiality of your password and any activities that occur under your account. You agree to notify us immediately of any unauthorized access or breach of security.
  3. Trial vs. Pro Plan. Users may sign up under a “Trial” plan (limited to 25 total prompts) or upgrade to a “Pro” plan (monthly usage resets with 500 prompts per month). Additional details, such as pricing and code entry for promotional upgrades, are described on the Platform. If you violate these Terms or misuse your usage limits, we reserve the right to suspend or terminate your account.

4. Usage Limits and Promo Codes

  1. Usage Tracking. We track user prompts (or chat requests) to ensure compliance with the plan usage limits. Trial users receive a one-time total usage allotment. Pro users have monthly usage allotments subject to automatic reset. The system may block further prompts once you reach your limit.
  2. Promo Codes. Occasionally, we may offer promotional or evaluation codes (“Promo Codes”) to extend or upgrade your usage. Each user is allowed a limited number of attempts (e.g., 20) to enter valid codes. Repeated invalid attempts may lead to account-level restrictions. We reserve the right to modify or discontinue these Promo Codes at any time.
  3. No Guarantee of Validity. Promo Codes may be revoked, expired, or otherwise invalid. We are not responsible if a provided code fails to function as expected.

5. User Conduct and Responsibilities

  1. Compliance with Laws. You agree to use the Services only in compliance with all applicable local, state, national, and international laws and regulations.
  2. Prohibited Uses. You agree not to:
    • Upload, post, or share any content that is unlawful, abusive, defamatory, obscene, or otherwise objectionable.
    • Attempt to scrape, exploit, or reverse-engineer any part of the Platform or the AI models behind it.
    • Misrepresent your identity or affiliation with any other person or organization.
    • Circumvent, disable, or otherwise interfere with security-related features or usage tracking on the Platform.
  3. Accuracy of Inputs. You understand that the Platform’s outputs heavily depend on the information you provide. You are solely responsible for ensuring the accuracy and completeness of all data, loan scenarios, or documents you upload or input.

6. Intellectual Property and License

  1. Ownership. All content, code, methodologies, trademarks, and other intellectual property (“IP”) associated with the Platform are owned by or licensed to us. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business or personal purposes.
  2. Restrictions. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse-engineer or attempt to extract the source code unless such restrictions are prohibited by law.
  3. Feedback. Any feedback, suggestions, or comments you provide about the Services (“Feedback”) may be used by us without obligation, and you hereby irrevocably assign all rights in such Feedback to us.

7. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal data. By using the Platform, you consent to our collection and use of your information as outlined in the Privacy Policy.

8. Disclaimer of Warranties

  1. As-Is. The Services, including AI-generated outputs, are provided “as is” and “as available,” without warranties of any kind, whether express or implied. We disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement.
  2. No Guarantee of Accuracy or Availability. We do not guarantee that the Services will be timely, uninterrupted, error-free, secure, or meet your requirements. We also do not guarantee any particular loan outcome or underwriting decision. All data, including mortgage guidelines, is subject to change and may not be up to date.
  3. Third-Party Content. We may use or integrate third-party APIs, libraries, or data sources. We are not responsible for the accuracy, reliability, or performance of third-party services.

9. Limitation of Liability

  1. Indirect Damages. To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from or relating to your use of or inability to use the Services.
  2. Cap on Liability. In no event shall our total liability for all claims related to the Services exceed the greater of the amounts you paid to us in the twelve (12) months preceding the claim or one hundred US dollars (USD $100).
  3. Application of Law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitation or exclusions may not apply to you. In such jurisdictions, our liability shall be limited to the extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Alphabetasoup, Inc. and its officers, directors, employees, and agents from and against any and all losses, damages, liabilities, claims, demands, or expenses (including reasonable attorneys’ fees) arising out of or related to (i) your use or misuse of the Services; (ii) your breach or violation of these Terms; or (iii) your violation of applicable laws or regulations.

11. Termination

  1. Right to Terminate. We may terminate or suspend your access to the Services immediately, without prior notice or liability, if you breach these Terms or for any other reason at our sole discretion.
  2. Effect of Termination. Upon termination, all licenses and rights granted to you in these Terms will immediately cease. We have no obligation to retain your data, usage records, or AI chat history after termination.

12. Governing Law and Dispute Resolution

  1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Alphabetasoup, Inc. is headquartered, without regard to conflict-of-law provisions.
  2. Disputes. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration or small-claims court, if applicable, in accordance with the rules of the local arbitration association or an equivalent body.

13. Modifications to Services

We reserve the right to modify or discontinue, temporarily or permanently, any aspect of the Services at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation of the Services.

14. General Provisions

  1. Entire Agreement. These Terms, including any policies referenced herein, constitute the entire agreement between you and Alphabetasoup, Inc. regarding your use of the Services.
  2. Waiver. The failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  3. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  4. Assignment. You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. Any attempt to assign without consent is void.
